By accessing or using the Site you agree to be bound by these Website Terms and Conditions (these "Terms") and by our Privacy Policy, which is incorporated by reference. If you do not agree to these Terms you must not access or use the Site.

If you use the Site on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms, in which case "you" refers both to you individually and to that organisation.

We may modify these Terms from time to time. When we do, we will post the revised Terms on this page and update the "Last updated" date at the top. Material changes will take effect 30 days after they are posted.

Your continued use of the Site after the effective date of any revised Terms constitutes your acceptance of those revised Terms. If you do not agree to the changes, your sole remedy is to stop using the Site.

Subject to your compliance with these Terms, RigXy grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Site for your internal business or personal evaluation purposes.

You agree not to:

• scrape, harvest, or otherwise collect information from the Site by automated means without our prior written consent;
• reverse engineer, decompile, or attempt to derive the source code of any software or service made available through the Site;
• use the Site to send unsolicited commercial communications, distribute malware, or otherwise interfere with the operation of the Site;
• frame, mirror, or republish any part of the Site without our prior written consent;
• misrepresent your affiliation with any person or entity, or create accounts using false information.

Some features of the Site (for example, signing up for the RigXy product) require you to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate. You must notify us immediately of any unauthorised use of your account by emailing security@rigxy.com.

Your use of the RigXy product after account creation is also governed by our Terms of Service and Data Processing Addendum, which are separate from these Terms.

The Site, including all text, graphics, images, logos, software, and other content, is owned by RigXy or its licensors and is protected by copyright, trademark, and other intellectual property laws.

"RigXy", the RigXy logo, and any related product or service names are trademarks of RigXy. You may not use these trademarks without our prior written consent.

We welcome feedback and suggestions. If you submit any feedback or suggestions to us through the Site, you grant us a perpetual, irrevocable, worldwide, royalty-free licence to use, modify, and incorporate them into our products and services without obligation to you.

The Site may contain links to third-party websites or display content provided by third parties (for example, customer stories, integration partner pages, or industry resources). We do not endorse and are not responsible for any third-party content, products, or services.

Your interactions with any third party — including payments, terms of use, and privacy practices — are solely between you and that third party. We encourage you to review the terms and privacy policies of any third party before engaging with them.

The following is intentionally written in capital letters because applicable law requires it to be conspicuous.

The Site is provided on an "as is" and "as available" basis. RigXy expressly disclaims all warranties of any kind, whether express, implied, or statutory, including without limitation the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the Site will be uninterrupted, secure, or error-free, that defects will be corrected, or that the Site or the servers that make it available are free of viruses or other harmful components. You assume the entire risk arising out of your use of the Site.

To the maximum extent permitted by applicable law, in no event shall RigXy or its officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of the Site.

Our aggregate liability arising out of or relating to these Terms or the Site shall not exceed one hundred United States dollars (US$100). The foregoing limitations apply whether the alleged liability is based on contract, tort, negligence, strict liability, or any other basis, even if we have been advised of the possibility of such damage.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. Accordingly, the above limitations may not apply to you.

You agree to defend, indemnify, and hold harmless RigXy and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including without limitation reasonable attorneys' fees and costs, arising out of or in any way connected with: (a) your access to or use of the Site; (b) your violation of these Terms; or (c) your violation of any third-party right, including without limitation any intellectual property or privacy right.

We may suspend or terminate your access to the Site at any time, with or without cause and with or without notice. Upon termination, your right to use the Site will immediately cease.

The following sections survive termination: Intellectual property; Disclaimer of warranties; Limitation of liability; Indemnification; Governing law and disputes; and Miscellaneous.

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles. You agree to submit to the exclusive jurisdiction of the state and federal courts located in Delaware for the resolution of any disputes arising out of or relating to these Terms or the Site.

Any dispute, claim, or controversy arising out of or relating to these Terms shall first be addressed through good-faith negotiation between the parties. If the parties are unable to resolve the dispute within thirty (30) days, either party may pursue any remedy available at law or in equity.

These Terms, together with our Privacy Policy and any other legal notices published by us on the Site, constitute the entire agreement between you and RigXy concerning the Site. If any provision of these Terms is deemed invalid by a court of competent jurisdiction, the remaining provisions will continue in full force and effect.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. We may assign these Terms freely.
